Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services operated by RepU Limited ("RepU", "we", "us", or "our"), including the RepU Workspace platform and its associated iOS mobile application (collectively, the "Services").

Please read these Terms carefully before using our Services. By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Services.


1. Eligibility

You must be at least 18 years old to use our Services. By using the Services, you represent and warrant that you meet this age requirement and that you have the authority to enter into a binding agreement on behalf of yourself or the organisation you represent.


2. Accounts

To access certain features of the Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your account credentials and not share them with others
  • Notify us immediately at [email protected] of any unauthorised access to or use of your account
  • Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate your account if you breach these Terms or if we suspect fraudulent, abusive, or harmful activity.


3. Permitted use

Subject to these Terms, RepU grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes.

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Services
  • Introduce viruses, malware, or any other harmful code or material
  • Attempt to gain unauthorised access to any portion of the Services or related systems
  • Rent, lease, sub-licence, or resell access to the Services without our written consent
  • Remove or alter any proprietary notices, labels, or marks on the Services
  • Use automated means (scraping, bots, crawlers) to access the Services without our prior written permission

4. Intellectual property

The Services and all content, features, and functionality therein — including but not limited to software, text, graphics, logos, trademarks, and data — are owned by RepU or its licensors and are protected by UK and international intellectual property law.

Nothing in these Terms transfers any intellectual property rights to you. You may not use RepU's name, logos, or trademarks without our prior written consent.


5. User content

You retain ownership of any content, data, or materials you upload, submit, or generate within the Services ("User Content"). By submitting User Content, you grant RepU a limited, non-exclusive, royalty-free licence to use, store, and process that content solely for the purpose of providing the Services to you.

You are solely responsible for the legality, accuracy, and appropriateness of your User Content. You agree not to upload content that is unlawful, defamatory, infringing, obscene, or that violates any third-party rights.


6. Subscription and payment

Access to certain features of the Services requires a paid subscription. Where applicable:

  • Subscription fees are payable in advance on the billing cycle agreed at sign-up
  • All fees are exclusive of applicable taxes (e.g. VAT) unless stated otherwise
  • Fees are non-refundable except where required by applicable law or expressly stated in a separate agreement
  • We reserve the right to change subscription pricing with 30 days' written notice

If payment is not received by the due date, we may suspend or terminate your access to the Services.


7. Third-party services and the App Store

The RepU Workspace iOS application is distributed via the Apple App Store. Your use of the application is also subject to Apple's Standard End User Licence Agreement (EULA). Apple is not a party to these Terms and is not responsible for the Services or any claims arising from your use of the Services.

The Services may integrate with or link to third-party services (e.g. authentication providers, analytics). We are not responsible for the terms or practices of those third parties.


8. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses. We are not responsible for any errors or omissions in the content of the Services or for any loss or damage arising from your use thereof.


9. Limitation of liability

To the fullest extent permitted by applicable law, RepU and its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption, arising out of or in connection with your use of the Services.

Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the greater of (a) the amount you paid to us in the 12 months preceding the claim, or (b) £100.


10. Indemnification

You agree to defend, indemnify, and hold harmless RepU and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.


11. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for any reason, including breach of these Terms. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination will remain in effect.


12. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.


13. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on this page and by email (where appropriate). Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
